We begin each relationship with a thorough legal needs assessment, including a critical review of charter and governance documents and policies, to get to know your organization. We are then able to advise you on the steps we believe you should take to minimize risk, enhance compliance, and plan for the future. We routinely advise clients on a wide range of matters including corporate governance, board composition, management succession, UBTI, commercial transactions, contracts, and agreements, anti-trust and IRS compliance.
We offer hourly rates for discrete projects as well as monthly and annual flat fee arrangements at a discount compared to standard hourly rates. Our trade association clients find flat fee arrangements particularly attractive due to the constraints imposed by fixed annual budgets and restrictions imposed by boards, bylaws and policy documents on discretionary spending by management. Fees can be approved in advance as part of the annual budget.
With flat fee arrangements trade association management can add the dedicated time and predictable, fixed cost of in-house counsel to its team at less than the cost of salary and benefits for a lawyer employee—plus the flexibility to use it when needed, as much as needed without the necessity of additional approvals.
